HGST GLOBAL CODE OF CONDUCT

HGST, Inc. has adopted the Global Code of Conduct established by its parent company Western Digital Corporation. The Global Code of Conduct provides information about the minimum standards of integrity that HGST expects all of its employees worldwide to follow and takes into account varying practices due to cultural differences in international locations. The standards set forth in the Global Code of Conduct are supported by more detailed Company policies and procedures, which are issued in various geographic regions to supplement or implement those standards. These policies and procedures provide clear, specific directions concerning many of the business practices and behaviors discussed in the Code.

A copy of the Global Code of Conduct in the appropriate language is given, or is available online, to all HGST employees. In addition, new employees are given a copy of the Code of Conduct on their first day of employment. All employees are informed that they are expected to comply with the provisions of the Code of Conduct and that failure to do so is regarded as misconduct that can result in disciplinary action.

Each year, senior members of management and several hundred key designated employees worldwide are required to complete an online questionnaire certifying that they have complied with the provisions of the Global Code of Conduct. This certification process is required by the Audit Committee and is managed by the Corporation’s General Counsel.



EICC and CONFLICT MINERALS MANAGEMENT

The Electronic Industry Citizenship Coalition (EICC) is a coalition of more than 100 electronics companies working together to improve social and environmental conditions in the global electronics supply chain covering five main topics:

HGST has been a member of the EICC since 2008. Subscribing to the EICC Code of Conduct helps HGST demonstrate its commitment to this widely acknowledged industry standard for social and environmental responsibility. Additionally, HGST has communicated our expectations that our global production parts (PP) suppliers implement programs to meet the EICC Code of Conduct.

HGST requires global production parts suppliers to submit Conflict Minerals Reports using the latest version of EICC’s Conflict Minerals Reporting Template (CMRT). This enables HGST to demonstrate its due diligence in meeting applicable governmental requirements, including with the Securities and Exchange Commission (SEC) and the Organization for Economic Co-operation and Development (OECD), as well as the EICC Code’s Responsible Sourcing provisions. HGST’s INTEGRATED MANAGEMENT SYSTEM

HGST is certified* to ISO 9001, ISO 14001 and OHSAS 18001 for the sites specified in such certifications.

*HGST’s site in Thailand is also certified to TS 16949, which includes Fujisawa, Japan in the scope of certification as a supporting site.

HGST has adopted an Integrated Management System (IMS) approach to meet these standards. Our IMS unifies multiple policies and management systems, allowing HGST to optimize resources, build effective linkages, standardize operations, leverage common elements of systems and standards, manage risks, and meet the commitments stated in our IMS Policy below. The result is the scalable and flexible alignment of compliance standards and procedures across all functions and sites and increased effectiveness and efficiencies in sustaining certification to international standards.

PRODUCT COMPLIANCE

RoHS
The Restriction of Hazardous Substances (RoHS) Directive issued by the European Union (EU), restricts the use of certain hazardous substances from electronic products sold in Europe as of July 1, 2006. HGST hard drive products introduced in February 2005 and after meet the requirements imposed under the RoHS Directive.

WEEE
The Waste Electrical and Electronic Equipment (WEEE) Directive was created by the EU and is designed to minimize the disposal of electrical and electronic equipment into landfills. The WEEE Directive requires that a specific marking (i.e., the crossed-out wheeled bin or “Dustbin” logo) be included on certain end-user products to identify them as items covered by this legislation.

For the convenience of our customers who sell HGST products in EU countries, HGST began labeling all generic hard drive products with the WEEE symbol in January 2006. Currently, the WEEE symbol is applicable only in the EU.

HGST encourages users of its products to not disassemble products into components and to dispose of products in accordance with local laws.

REACH
The European Union’s Registration, Evaluation, Authorization, and Restriction of Chemicals (REACH) regulates the handling of sensitive chemicals and the phase-in of alternatives for the most dangerous chemicals used within EU commerce.

The REACH regulation of the European Union (EU) became effective June 1, 2007 to regulate the safe handling of the most sensitive chemicals within EU commerce and to phase-in suitable substitutions for the most dangerous chemicals within EU commerce.

The European Chemicals Agency, the EU agency responsible for implementing REACH, publishes the names of substances that are candidates for its Substances of Very High Concern (SVHC) list. As provided for by REACH, HGST reviews its products to determine if any HGST products contain more than 0.1% by weight per article of any substance on the SVHC candidate list.
